Are you expertly knowledgeable when it comes to corporate governance and regulatory requirements? Can you build and manage relationships with executive/board level individuals?

In this role you’ll assist the Company Secretary in ensuring the BGL Group maintains high standards of corporate governance and compliance with related legal and statutory requirements and the efficiencies of all company secretarial matters. 

You’ll live and breathe the BGL values and culture to work effectively and to promote best practice. Having a passion to support the business where possible, you’ll be someone who is flexible, open-minded and have a can do attitude to help support various areas of the business to achieve its goals.

What will you do?

  • Responsible for organisational compliance with relevant Companies Act requirements and corporate governance best practice
  • Support the BGL Governance Framework through the smooth and timely operation of the BGL Board and related committee meetings
  • With oversight from the Company Secretary, lead in managing the governance arrangements of the Divisional Boards and related Committee meetings
  • Assist the Company Secretary in managing the governance arrangements of the Main Board and related Committee meetings
  • Support or attend Board / Committee meetings, where you will agree and distribute agendas, meeting papers, actions and take the minutes.
  • You’ll ensure best practice in meeting statutory requirements, maintaining corporate records and Companies House filings
  • You’ll have responsibility for ensuring the accuracy of NED letters of appointment, induction, training, awareness of BGL policies and handling expenses
  • Line management and oversight of the Company Secretarial Assistant

What will it take?

  • ICSA qualified or solicitor with extensive experience of practical company secretarial experience
  • Ability to develop a strong understanding of the BGL Group, its business model and the culture
  • Expert knowledge of corporate governance and related legal and regulatory requirements
  • Very good understanding of the legal / regulatory issues relevant to a regulated financial services business
  • Proven experience of corporate governance in a major well respected organisation
  • Excellent stakeholder management, with experience of Board support, minute taking and related administration
  • Excellent organisational skills with the ability to pro-actively manage multiple work streams simultaneously
